These Terms and Conditions govern your use of RealtyEdge Partners services and website. Please read them carefully before engaging our services.

Important Notice

By using our services or website, you agree to these Terms. If you are entering into a formal service engagement, a separate Service Agreement will govern the specifics of that relationship. In case of conflict, the Service Agreement takes precedence.

1. Acceptance of Terms

By engaging RealtyEdge Partners ("Company," "we," "us," or "our") for accounting services, accessing our website, or entering into a service agreement, you ("Client") agree to be bound by these Terms and Conditions.

If you do not agree to these terms, you may not use our services. These Terms apply to all clients, visitors, and users who access or engage our services.

We reserve the right to modify these Terms at any time. Continued use of our services following notification of changes constitutes acceptance of the updated Terms.

2. Services Provided

RealtyEdge Partners provides offshore real estate accounting and back-office support services to US-based property management companies and real estate businesses. Services include but are not limited to: bookkeeping, property accounting, bank reconciliation, accounts payable, accounts receivable, CAM reconciliation, financial reporting, construction accounting, and corporate accounting.

The specific scope of services, deliverables, timelines, and fees are governed by a separate Service Agreement or Statement of Work ("SOW") executed between the parties.

We reserve the right to modify, suspend, or discontinue any service with reasonable advance notice. We are not liable for any modification or discontinuation of services with proper notice.

3. Client Engagement & Onboarding

Engagement begins upon execution of a signed Service Agreement and receipt of an initial payment where applicable. Onboarding requires the Client to provide access to relevant accounting systems, documents, and data necessary for service delivery.

The Client is responsible for providing accurate, complete, and timely information. RealtyEdge Partners is not liable for errors resulting from incomplete, inaccurate, or delayed information provided by the Client.

A dedicated team will be assigned to each client account. The composition and size of the team may be adjusted based on workload volume and portfolio requirements.

4. Fees and Payment

Service fees are outlined in the applicable Service Agreement or SOW. Fees may be structured as monthly retainers, per-unit pricing, or project-based, depending on the engagement model.

Invoices are issued on a monthly basis unless otherwise agreed. Payment is due within 15 days of invoice date unless stated otherwise in the Service Agreement.

Late payments may incur a late fee of 1.5% per month on outstanding balances. RealtyEdge Partners reserves the right to suspend services for accounts with overdue balances exceeding 30 days.

All fees are quoted in US Dollars (USD). Wire transfers, ACH, or other approved payment methods are accepted as specified in the Service Agreement.

5. Confidentiality

RealtyEdge Partners treats all Client data, financial information, business records, and operational details as strictly confidential. Our team members sign Non-Disclosure Agreements (NDAs) and are bound by confidentiality obligations.

We will not disclose Client information to third parties except as required by law, with Client consent, or as necessary to deliver the contracted services using approved sub-processors.

This confidentiality obligation survives the termination of the service relationship and remains in effect indefinitely unless the information becomes publicly available through no fault of RealtyEdge Partners.

6. Data Access and Security

To perform accounting services, RealtyEdge Partners requires access to accounting software platforms, financial records, bank statements, and related documents. Access is granted by the Client and should be limited to what is necessary for service delivery.

We implement administrative, technical, and physical safeguards to protect Client data including encrypted communications, role-based access controls, and secure data handling protocols.

The Client is responsible for maintaining the security of their own systems, credentials, and platforms. RealtyEdge Partners is not liable for data breaches or losses originating from Client-side security failures.

Upon termination of services, we will return or destroy all Client data as directed by the Client within a reasonable timeframe.

7. Intellectual Property

All work product, reports, financial statements, and deliverables produced by RealtyEdge Partners for a specific Client engagement are the property of the Client upon full payment of applicable fees.

RealtyEdge Partners retains ownership of all proprietary methodologies, SOPs, workflow templates, tools, and internal processes used to deliver services. Nothing in these Terms transfers ownership of our internal systems or proprietary processes.

The Client grants RealtyEdge Partners a limited license to use Client logos, brand materials, and business information solely as necessary to perform the contracted services.

8. Limitation of Liability

RealtyEdge Partners provides accounting support services based on information provided by the Client. We are not a licensed CPA firm and do not provide tax advice, legal advice, or audit services unless explicitly stated in the Service Agreement.

Our total liability for any claim arising from our services shall not exceed the total fees paid by the Client in the three months preceding the claim.

RealtyEdge Partners is not liable for: indirect or consequential damages, loss of revenue or profits, decisions made by Client based on our reports, errors resulting from incomplete or inaccurate Client data, or delays caused by Client-side factors.

We are not liable for force majeure events including natural disasters, government actions, internet outages, or circumstances beyond our reasonable control.

9. Termination

Either party may terminate the service relationship with 30 days written notice unless otherwise specified in the Service Agreement. Immediate termination may occur for material breach of these Terms or the Service Agreement.

Upon termination, the Client is responsible for all fees incurred up to the termination date. Outstanding balances remain due regardless of termination.

RealtyEdge Partners will provide a reasonable transition period and documentation handover to assist the Client in transitioning to a new provider.

10. Governing Law and Disputes

These Terms and any disputes arising from our services shall be governed by and construed in accordance with applicable law. Given the international nature of our services, parties agree to resolve disputes through good-faith negotiation first.

If negotiation fails, disputes shall be submitted to binding arbitration. Each party shall bear its own legal costs unless the arbitrator determines otherwise.

Nothing in these Terms prevents either party from seeking injunctive relief to protect confidential information or intellectual property rights.

11. General Provisions

These Terms, together with the applicable Service Agreement, constitute the entire agreement between the parties and supersede all prior discussions, representations, and agreements.

If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force and effect.

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

These Terms may not be assigned by the Client without prior written consent from RealtyEdge Partners.
